1. Acceptance of Terms

Welcome to 7Center. These Terms of Service ("Terms") constitute a legally binding agreement between you and 7Center ("Company," "we," "us," or "our") governing your access to and use of the 7center.com website, applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are under 18, you must have parental or guardian consent.

3. Account Registration

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

4.1 Your Content

You retain ownership of the content you create and post on the Service ("User Content"), including questions, answers, comments, and other contributions. However, by posting User Content, you grant 7Center a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your User Content in connection with the Service and 7Center's business operations, including marketing and promotional purposes.

4.2 Content Standards

You agree that your User Content will not:

  • Violate any applicable law, regulation, or third-party rights
  • Contain false, misleading, or fraudulent information
  • Be defamatory, obscene, pornographic, vulgar, or offensive
  • Promote discrimination, bigotry, racism, hatred, or harm against any individual or group
  • Constitute spam, unsolicited advertising, or unauthorized commercial content
  • Contain malware, viruses, or harmful code
  • Infringe any intellectual property rights, privacy rights, or publicity rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Encourage illegal activity or provide instructions for harmful or dangerous acts

4.3 Content Moderation

We reserve the right, but have no obligation, to monitor, edit, or remove any User Content at our sole discretion, for any reason, without notice. We are not responsible for User Content posted by users and do not endorse any opinions expressed in User Content.

5. Intellectual Property

5.1 7Center Property

The Service, including its design, logo, graphics, software, code, features, and all content created by 7Center (collectively, "7Center Property"), is owned by 7Center and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the 7Center Property without our explicit written consent.

5.2 Trademarks

"7Center," the 7Center logo, "Global Solutions for Local Giants," "7 Centers of Knowledge," and related names, logos, and slogans are trademarks of 7Center. You may not use these trademarks without our prior written permission. All other trademarks appearing on the Service are the property of their respective owners.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution.

6. Prohibited Conduct

In using the Service, you agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or systems
  • Use automated scripts, bots, scrapers, or crawlers to access the Service without written permission

7Center does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content on the Service, including User Content. Any reliance on content obtained through the Service is at your own risk.

7Center does not provide professional advice (medical, legal, financial, or otherwise). Content on the Service is for informational purposes only and should not be considered a substitute for professional consultation.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 7CENTER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL 7CENTER'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO 7CENTER, IF ANY, DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless 7Center, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your User Content, including any claim that your content infringes third-party rights
  • Your violation of any applicable law or regulation

10. Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice, including for violation of these Terms. Upon termination:

  • Your right to access and use the Service will immediately cease
  • We may delete your account and associated data
  • Provisions that should survive termination (including intellectual property, disclaimer, limitation of liability, and indemnification) will remain in effect
  • Your previously posted User Content may remain on the platform in anonymized form

11. Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved informally, it shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body in the jurisdiction of 7Center's principal place of business.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which 7Center is established, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts in that jurisdiction for any disputes not subject to arbitration.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting a notice on the Service, updating the "Last updated" date, or sending an email. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the Service.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and 7Center regarding the Service.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our consent. We may assign our rights without restriction.
  • No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and 7Center.
